Matchi Terms of Service

1. Eligibility

Matchi is intended only for adults who are at least 18 years old.

By creating an account or using the dating portions of the Services, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You are legally permitted to use the Services
• You have not previously been removed from Matchi for serious misconduct unless Matchi has expressly authorized your return
• You are not prohibited from using the Services under applicable law
• The information you provide to Matchi is truthful and accurate

Individuals under 18 may not create a Matchi account.

If Matchi reasonably believes that a user is under 18, we may immediately restrict or suspend the account while we investigate and may permanently terminate the account.

2. Your Matchi Account

You may need to create an account to access certain Matchi features.

You agree to:

• Provide accurate information
• Maintain current account information
• Protect your login credentials
• Maintain the security of your account
• Not allow another person to use your account
• Not create an account for another person without authorization
• Notify Matchi if you believe your account has been compromised

You may not sell, rent, transfer, license, or otherwise provide your Matchi account to another person.

Unless expressly authorized by Matchi, you may maintain only accounts permitted under our current account policies.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

3. Matchi Dating Services

Matchi provides technology designed to help adults discover, communicate with, and potentially form connections with other adults.

Matchi may provide features including:

• User profiles
• Discovery
• Likes
• Passes
• Matches
• Compatibility information
• Messaging
• Recommendations
• AI-powered recommendations
• Dating guidance
• Profile assistance
• Conversation assistance
• Safety tools
• Other dating and relationship features

Matchi does not guarantee that you will:

• Receive matches
• Receive a particular number of matches
• Receive messages
• Meet another user
• Form a relationship
• Find another person attractive
• Be considered attractive by another person
• Be compatible with a recommended user
• Achieve any particular dating or relationship outcome

Dating inherently involves personal judgment and interpersonal risk.

You remain responsible for deciding whom you communicate with, meet, date, or otherwise interact with.

4. Matching and Recommendations

Matchi may use algorithms, artificial intelligence, machine learning, statistical models, user preferences, profile information, activity, and other signals to recommend potential matches or personalize your experience.

Factors may include:

• Age preferences
• Location or distance
• Gender preferences
• Relationship goals
• Interests
• Compatibility responses
• Likes and passes
• Match history
• Profile interactions
• Other Matchi activity

Recommendations are predictions or suggestions, not guarantees.

A Matchi recommendation does not mean that Matchi has determined that another person is:

• Safe
• Trustworthy
• Honest
• Compatible
• Available
• Interested in you
• Free of a criminal history
• Appropriate for an in-person meeting

You remain responsible for evaluating other users and deciding whether and how to interact with them.

5. User Profiles and Information

You are responsible for information and content you provide through Matchi.

You agree that information used to represent yourself will not intentionally be materially false or misleading.

You may not:

• Impersonate another person
• Use another person's photographs without authorization
• Materially misrepresent your identity for fraudulent purposes
• Falsely claim credentials for deceptive purposes
• Create fake profiles
• Misrepresent your age
• Pretend to represent Matchi
• Use your profile primarily to deceive, manipulate, or defraud others

Matchi may remove content, restrict profiles, request verification, or suspend accounts where we reasonably believe these rules have been violated.

6. User Content

User Content means content you submit, upload, send, publish, display, or otherwise make available through Matchi.

User Content may include:

• Profile photographs
• Videos
• Biography information
• Profile answers
• Messages
• AI prompts
• Feedback
• Reports
• Comments
• Images
• Other content you provide

You retain ownership of your User Content.

However, by providing User Content through Matchi, you grant Matchi a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, modify as technically necessary, and otherwise use that content solely as reasonably necessary to operate, provide, secure, moderate, personalize, and improve the Services and as otherwise described in our Privacy Policy.

This license ends when the applicable content is deleted from our systems, subject to reasonable backup periods and information we are legally permitted or required to retain.

You represent that you have the rights necessary to provide User Content to Matchi.

7. Private Communications

Matchi may allow users to communicate privately.

Matchi does not claim ownership of private conversations merely because they occur through the Services.

However, Matchi may process communications as reasonably necessary to:

• Deliver messages
• Operate the Services
• Detect spam
• Detect scams or fraud
• Identify threats
• Investigate harassment
• Investigate safety reports
• Enforce these Terms
• Protect users
• Maintain security
• Comply with applicable law

Automated systems may analyze certain signals associated with messages for safety, security, and fraud-prevention purposes.

Where appropriate, authorized personnel may review relevant communications when investigating reports, safety incidents, suspected violations, or legal obligations.

8. Artificial Intelligence Features

Matchi may provide features powered by artificial intelligence.

These may include:

• AI companions
• Dating guidance
• Relationship guidance
• Conversation assistance
• Message suggestions
• Profile assistance
• Compatibility insights
• Personalized recommendations
• Other AI-powered features

Matchi currently uses technology provided through the OpenAI API to power certain AI functionality.

Information necessary to provide an AI feature may be transmitted to OpenAI for processing as described in the Matchi Privacy Policy.

Matchi does not authorize OpenAI to use Matchi API inputs and outputs to train OpenAI's general-purpose models unless Matchi changes this practice, provides appropriate notice, and obtains any consent required by applicable law.

9. AI-Generated Content

Artificial intelligence can make mistakes.

AI-generated responses may be:

• Incorrect
• Incomplete
• Outdated
• Inappropriate
• Misleading
• Unsuitable for your particular circumstances

Matchi does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content.

You should independently evaluate information generated by Matchi's AI features.

AI-generated content does not constitute professional advice.

In particular, Matchi's AI features are not substitutes for qualified:

• Medical professionals
• Mental health professionals
• Therapists
• Psychologists
• Psychiatrists
• Attorneys
• Financial advisors
• Emergency services

You remain responsible for decisions you make based on AI-generated information.

10. AI Companions and Relationship Guidance

Matchi AI companions may communicate in a conversational, supportive, personable, or relationship-oriented manner.

You understand that these AI features are software systems and not human beings.

AI-generated expressions of empathy, personality, encouragement, affection, understanding, or similar conversational behavior do not represent human feelings, consciousness, professional judgment, or a human relationship.

Matchi does not guarantee that AI advice will improve a relationship, result in a match, prevent conflict, or produce any particular outcome.

You should not rely on Matchi AI to determine whether another user is safe or trustworthy.

11. Prohibited Uses of AI

You may not intentionally use Matchi's AI features to facilitate:

• Fraud
• Scams
• Harassment
• Threats
• Stalking
• Blackmail
• Extortion
• Impersonation
• Phishing
• Sexual exploitation
• Non-consensual sexual activity
• Manipulation intended to cause serious harm
• Illegal activity
• Violations of these Terms

Matchi may restrict or terminate access to AI functionality when we reasonably believe it is being intentionally misused.

12. Community Conduct

You agree to treat other users with reasonable respect.

You may not use Matchi to:

• Harass another person
• Threaten another person
• Stalk another person
• Bully or intimidate users
• Engage in hate-based abuse
• Send repeated unwanted messages
• Send unwanted sexually explicit content
• Engage in sexual harassment
• Pressure someone to meet
• Pressure someone into sexual activity
• Retaliate against someone for rejecting you
• Circumvent another user's block
• Facilitate exploitation
• Engage in human trafficking
• Encourage serious violence

Matchi may take action against accounts engaging in prohibited conduct.

13. Consent

Matchi requires users to respect consent.

Consent must be freely given and may be withdrawn at any time.

A person agreeing to communicate with you does not mean they agree to meet you.

Agreeing to a date does not constitute consent to physical or sexual activity.

Previous consent does not constitute future consent.

Matchi has zero tolerance for sexual violence, sexual exploitation, coercion, or non-consensual sexual activity.

Credible reports involving serious misconduct may result in immediate account restrictions or termination.

14. Scams and Financial Solicitation

You may not use Matchi to defraud other users.

Prohibited activity includes:

• Romance scams
• Investment scams
• Cryptocurrency scams
• Phishing
• Gift-card scams
• Fraudulent emergency requests
• Requests for authentication codes
• Attempts to obtain banking credentials
• Other fraudulent financial schemes

Matchi strongly recommends that users never send money, cryptocurrency, gift cards, banking credentials, passwords, or authentication codes to someone they meet through Matchi.

Matchi may use automated systems to identify suspicious financial solicitation.

Automated detection does not necessarily mean a user has committed fraud.

15. Blocking, Unmatching, and Reporting

Matchi may provide tools allowing users to:

• Unmatch
• Block
• Report profiles
• Report messages
• Report safety concerns

Users do not need another person's permission to block, unmatch, or report them.

Attempting to circumvent another user's block through additional accounts or repeated off-platform contact may violate these Terms.

Reports should be submitted in good faith.

Knowingly submitting false reports for purposes of harassment, retaliation, or manipulation may result in enforcement action.

16. Safety

Meeting people online involves risk.

Matchi may provide safety features and educational resources, but Matchi cannot guarantee:

• The identity of another user
• Another user's intentions
• Another user's background
• Another user's criminal history
• The accuracy of profile information
• Another user's conduct
• Your safety when interacting with another person

Users should exercise reasonable caution.

When meeting another person for the first time, Matchi recommends meeting in a populated public location, maintaining control of your transportation, telling someone you trust where you are going, and avoiding disclosure of unnecessary sensitive information.

Additional guidance is available through the Matchi Safety Center at matchidating.app/safety.

17. Identity and Photo Verification

Matchi may offer identity, photograph, age, or other verification features.

Verification indicates only that the applicable Matchi verification process was completed.

Verification does not constitute:

• A criminal background check
• A guarantee of identity beyond the scope of the verification process
• A safety certification
• A character reference
• An endorsement by Matchi
• A guarantee that information provided by the user is accurate

Never rely solely on a verification badge when deciding whether to interact with or meet another person.

18. Background Checks

Unless Matchi expressly states otherwise for a particular feature, Matchi does not conduct comprehensive criminal background checks on every user.

Even where background or identity information is reviewed, public records and third-party databases may be incomplete, inaccurate, unavailable, or outdated.

The absence of a Matchi warning does not mean a person is safe.

19. Off-Platform Conduct

Matchi may take action concerning serious conduct occurring outside the Services when we receive credible information indicating that a user may pose a significant risk to other Matchi users.

Examples may include credible information involving:

• Sexual violence
• Serious physical violence
• Stalking
• Human trafficking
• Sexual exploitation
• Serious fraud
• Other serious safety risks

Matchi may evaluate available information and take reasonable action consistent with applicable law.

20. Enforcement

Matchi may investigate suspected violations of these Terms or our Safety & Community Guidelines.

Depending on the circumstances, Matchi may:

• Issue a warning
• Remove content
• Restrict functionality
• Require verification
• Temporarily suspend an account
• Permanently terminate an account
• Restrict creation of replacement accounts
• Take other reasonable measures

Severe violations may result in immediate termination without prior warning.

Matchi is not required to disclose confidential information concerning investigations or enforcement decisions involving another user.

21. Subscriptions and Paid Features

Matchi may offer paid membership levels, including Matchi Plus and Matchi Premium, as well as other paid features or purchases.

The features and benefits associated with each subscription are described at the time of purchase and may change over time.

Before purchasing, you will be shown the applicable:

• Price
• Billing period
• Subscription benefits
• Other material purchase terms

Unless otherwise stated, subscriptions automatically renew until canceled.

22. Matchi Plus and Matchi Premium

Matchi currently anticipates offering membership tiers including:

Matchi Plus

Monthly pricing may be offered at approximately $20.00 per month, with annual subscription options potentially reflecting a discount compared with monthly billing.

Matchi Premium

Monthly pricing may be offered at approximately $34.00 per month, with annual subscription options potentially reflecting a discount compared with monthly billing.

The actual price presented to you at checkout controls.

Prices may vary based on:

• Subscription duration
• Promotions
• Location
• Currency
• Taxes
• App marketplace pricing
• Introductory offers
• Other factors

Matchi may change subscription pricing prospectively upon appropriate notice where required.

23. Apple App Store and Google Play Purchases

If you purchase a Matchi subscription through the Apple App Store or Google Play, the applicable marketplace processes your payment.

Your purchase may also be subject to the marketplace's terms and policies.

For marketplace purchases:

• Billing is handled by the applicable marketplace
• Renewal is generally handled by that marketplace
• Cancellation must generally be managed through your Apple or Google subscription settings
• Refund requests may be subject to the applicable marketplace's policies

Deleting the Matchi application does not automatically cancel a subscription.

Deleting your Matchi account may also not automatically cancel an active App Store or Google Play subscription.

You should cancel the applicable subscription through the marketplace through which you purchased it.

24. Automatic Renewal

Unless otherwise disclosed at purchase, paid subscriptions may automatically renew at the end of each billing period until canceled.

You authorize the applicable payment provider or app marketplace to charge the applicable subscription price and taxes for each renewal period until cancellation.

You must cancel before the applicable renewal deadline to avoid being charged for the next billing period.

The exact cancellation process and timing applicable to marketplace purchases are governed by the applicable marketplace.

25. Free Trials and Promotions

Matchi may offer free trials, introductory pricing, promotional subscriptions, discounts, or other offers.

Eligibility may be limited.

Unless otherwise stated, a free trial may convert to a paid subscription at the end of the trial period unless canceled before the applicable deadline.

Promotional terms displayed when the offer is presented are incorporated into these Terms.

Matchi may modify or discontinue promotions as permitted by law.

26. Refunds

Except where required by law or expressly stated otherwise, Matchi purchases are generally non-refundable once the applicable service period begins.

For purchases processed through Apple or Google, refund requests may need to be submitted directly to the applicable marketplace and are subject to its policies.

Nothing in this section limits non-waivable consumer rights.

27. Cancellation

You may cancel a subscription at any time through the mechanism applicable to your purchase.

Cancellation generally prevents future renewal but does not necessarily immediately terminate access to paid features.

Unless otherwise required by law, you may continue accessing paid features until the end of the period for which you have already paid.

28. Account Deletion

You may request deletion of your Matchi account using functionality provided within the Services or through the account-deletion method identified by Matchi.

Deleting your account may permanently remove access to:

• Your profile
• Matches
• Messages
• AI conversation history
• Preferences
• Account settings
• Other account-associated information

Certain information may be retained where reasonably necessary for:

• Legal compliance
• Financial records
• Fraud prevention
• Safety investigations
• Abuse prevention
• Enforcement
• Dispute resolution
• Other purposes described in the Matchi Privacy Policy

Deleting the Matchi app from your device does not delete your account.

Account deletion and subscription cancellation are separate actions.

29. Matchi Intellectual Property

Matchi and its licensors own the Services and associated intellectual property, including:

• Matchi branding
• Logos
• Designs
• Software
• Source code
• User interfaces
• Graphics
• Databases
• Matching systems
• AI orchestration systems
• Website content
• Documentation
• Other proprietary materials

These Terms grant you a limited, personal, revocable, non-exclusive, non-transferable license to access and use Matchi for its intended purposes.

Except as permitted by law, you may not:

• Copy Matchi software
• Sell or sublicense Matchi technology
• Reverse engineer the Services
• Circumvent technical protections
• Systematically scrape Matchi data
• Reproduce substantial portions of Matchi databases
• Use Matchi branding without authorization
• Create derivative commercial services using Matchi proprietary materials

30. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback concerning Matchi, you grant Matchi permission to use that feedback without restriction or compensation to you.

This does not transfer ownership of unrelated User Content, private conversations, photographs, or personal information.

31. Third-Party Services

Matchi may integrate with or link to services operated by third parties, including:

• Apple
• Google
• OpenAI
• Authentication providers
• Payment providers
• Mapping services
• Analytics providers
• Other technology providers

Third-party services may have separate terms and privacy policies.

Matchi is not responsible for independently operated third-party services.

32. Privacy

Your privacy is important to Matchi.

Our collection, processing, use, disclosure, and retention of personal information are described in the Matchi Privacy Policy.

Because Matchi is a dating platform, information you voluntarily provide may include sensitive information concerning dating preferences, sexual orientation, gender identity, relationships, communications, or location.

Please review the Privacy Policy carefully.

33. No Emergency Services

Matchi is not an emergency service.

Do not use Matchi or its AI features as a substitute for emergency assistance.

If you believe you or another person is in immediate danger, contact appropriate local emergency services.

Matchi does not guarantee continuous monitoring of reports, messages, AI conversations, or user activity.

34. Service Availability

We work to provide reliable Services but cannot guarantee uninterrupted availability.

Matchi may occasionally experience:

• Maintenance
• Technical failures
• Network outages
• Third-party outages
• Software errors
• Security incidents
• Other interruptions

Matchi may modify, suspend, discontinue, or replace features where reasonably necessary.

We do not guarantee that any particular feature will remain available indefinitely.

35. Beta and Experimental Features

Matchi may provide beta, preview, experimental, or early-access features.

Such features may:

• Contain errors
• Change without notice
• Perform unexpectedly
• Be temporarily unavailable
• Be discontinued

Where clearly identified as beta or experimental, these features are provided for evaluation and may not have the same reliability as generally available functionality.

36. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE.

MATCHI DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.

MATCHI DOES NOT WARRANT THAT:

• The Services will always be available
• The Services will be error-free
• Every user is who they claim to be
• Every profile is accurate
• Matches will be compatible
• AI output will be accurate
• Another user will be safe
• Safety systems will detect every violation
• Use of Matchi will result in a relationship or other particular outcome

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

37. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATCHI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

This may include damages arising from:

• Interactions with other users
• User conduct
• Dating experiences
• User Content
• AI-generated content
• Unauthorized account access
• Loss of data
• Service interruptions
• Reliance on recommendations

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

38. Your Responsibility for Interactions With Other Users

You are responsible for your interactions with other Matchi users.

To the extent permitted by law, Matchi is not responsible for the independent conduct of users inside or outside the Services.

Matchi provides tools intended to improve safety but cannot eliminate the risks associated with interacting with people online or in person.

Use reasonable judgment and review the Matchi Safety Center before meeting someone.

39. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Matchi and its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from:

• Your unlawful use of the Services
• Your material violation of these Terms
• Your infringement of another person's rights
• User Content you provide in violation of these Terms

This obligation does not apply to the extent a claim results from Matchi's own unlawful conduct.

40. Termination

You may stop using Matchi at any time.

Matchi may restrict, suspend, or terminate access if we reasonably believe:

• You violated these Terms
• You violated the Safety & Community Guidelines
• You pose a material risk to another user
• Your account is fraudulent
• You are under 18
• Your use creates a security risk
• Termination is necessary to comply with law
• Other circumstances justify termination under applicable law

Serious safety violations may result in immediate termination.

Provisions that by their nature should survive termination will remain effective after termination.

41. Changes to the Services

Matchi will continue evolving.

We may:

• Add features
• Remove features
• Modify functionality
• Change subscription benefits
• Introduce new membership levels
• Modify AI providers
• Change technical infrastructure
• Otherwise modify the Services

Material changes affecting paid subscriptions will be handled in accordance with applicable law.

42. Changes to These Terms

We may update these Terms periodically.

When we do, we will update the Last Updated date.

If we make material changes, we may provide additional notice through Matchi, email, the Website, or another appropriate method.

Where required by law, we will request affirmative acceptance of updated Terms.

43. Governing Law

These Terms are governed by the laws of [State], without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

44. Dispute Resolution and Arbitration

Matchi may require disputes to be resolved through individual binding arbitration, subject to applicable law and appropriate exceptions.

Any arbitration provision should specifically address:

• Arbitration provider and rules
• Arbitration fees
• Small-claims exceptions
• Injunctive relief
• Class-action waiver
• Jury-trial waiver
• Mass-arbitration procedures

Do not publish an arbitration clause generated solely from this placeholder without review by Matchi's attorney.

45. California and Other State-Specific Rights

Certain jurisdictions provide consumers with rights that cannot be waived through these Terms.

Nothing in these Terms is intended to waive rights that cannot legally be waived.

Matchi will comply with applicable state and federal consumer-protection requirements.

46. Apple-Specific Terms

If you download Matchi through Apple's App Store, you acknowledge that these Terms are between you and Matchi, not Apple.

Apple is not responsible for Matchi or its content except as required under applicable App Store terms or law.

Apple and its subsidiaries may be third-party beneficiaries of applicable portions of these Terms to the extent required by Apple's developer terms.

Your use of the application must comply with applicable App Store rules.

47. Google Play

If you obtain Matchi through Google Play, your use of the application and purchases may also be subject to applicable Google Play terms.

Google is not responsible for Matchi except to the extent provided by Google's applicable terms or required by law.

48. Entire Agreement

These Terms, together with the Matchi Privacy Policy, Safety & Community Guidelines, applicable subscription terms, and other terms expressly incorporated by reference, constitute the agreement between you and Matchi concerning the Services.

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure by Matchi to enforce a provision does not constitute a waiver of that provision.
